National Insurance Agents Directory hereby sets forth the following terms and conditions which shall govern this Agreement between National Insurance Agents Directory (hereinafter NIAD) and insurance agents and brokers (hereinafter "Client") who desire to place a listing at National Insurance Agents Directory.com.

LENGTH OF AGREEMENT
The length of this Agreement is open ended and starts with the posting of submitter's listing information in the National Insurance Agents Directory.

SITE REVIEW FEE
NIAD does not charge a fee for site listings. It does, however charge a one time non-refundable review fee in the amount of $39.95 per listing for reviewing submitter's site in order to verify that it meets the requirements of NIAD. Reciept by NIAD of said fee does not guarantee placement of submitter's site listing in NIAD and NIAD reserves the right to refuse to list any site that does not meet it's requirements. Each listing is restricted to one city. Each additional city requires an additional review fee equal to the amount of the original fee.

SITE REQUIREMENTS
1. Listings are restricted to insurance agents and brokers only.
2. Only insurance agents and brokers the maintain a verifiable business will have their site listed in this directory.
3. Listings will only be accepted for cities wherein the insurance agenty or broker actually services clients.
4. Submitter must not have had his, her or it's license or registration suspended at any time within the last two years for any reason.
5. Submitters site must list a main or branch office address and telephone number. A residential address may be used providing that is where the submitter maintains it's business. P.O. Box addresses are not acceptable.
6. Submitter's site may not defame any other insurance agent or broker.

LISTING PLACEMENT
Placement of Client's listing information shall be placed chronologically as submitter's listing, if approved, is approved by NIAD.

TERMINATION
Client may elect to remove Client's listing information from NIAD, however, any review fees that have already been paid are non-refundable.

LIABILITY
Submitter agrees that NIAD shall have no liability for the services, data or information provided to the public on the Internet including but not limited to any liability for consequential, indirect, special or incidental damages, regardless of the success or effectiveness of other remedies. Submitter agrees that it shall not hold NIAD liable for any loss of business, lost opportunity, consequential, indirect, special or incidental damages as a result of any interruption in service.

JURISDICTION AND GOVERNING LAW
This Agreement shall be governed by the defenses of the State of California and jurisdiction shall lie within the State of California. CUSTOMER HEREBY CONSENTS TO SUBMIT TO THE JURISDICTION OF THE STATE OF CALIFORNIA.

LEGAL ACTION
Client agrees to indemnify and hold NIAD harmless in any legal action which arises as a result of Client's use of NIAD's services, without limitation or exception including, but not limited to any action brought against Client by a third party.

HEADINGS
Headings in this Agreement are for convenience only and shall not be used to interpret or construe these provisions.

MODIFICATION
The terms and conditions of this Agreement may be modified at the discretion of NIAD with 30 days notice to Client.

ENTIRE AGREEMENT
This Agreement supersedes all Agreements previously made between the parties pertaining to the subject matter of this Agreement. There are no other understandings or Agreements. Failure to properly notify NIAD via e-mail or regular mail of your disagreement with the above terms and conditions will constitute Client's acceptance of same.
